Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Pipeline Intelligence. By creating an account, starting a trial, subscribing, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of a company, you represent that you have authority to bind that company.
1. The Service
Pipeline Intelligence is a business-to-business (B2B) workspace for sales teams. It includes CRM-style account management, pipeline views, team collaboration, reporting, calendar and follow-up tools, and optional AI-powered account intelligence, live search, and Deep Research features. Features available to you depend on your subscription plan, seat pack, and workspace settings.
2. Accounts and eligibility
- You must provide accurate registration information and keep it current.
- You must be at least 18 years old and using the Service for lawful business purposes.
- Each workspace (tenant) is controlled by workspace administrators, who manage users, billing, and data access within that tenant.
- You are responsible for safeguarding login credentials and for activity under your account.
- We may suspend or terminate accounts that violate these Terms or pose a security risk.
3. Trials, subscriptions, and billing
Free trial
Solo workspaces may start a limited free trial (duration, intel caps, and features are described at signup and in-product). When the trial ends, continued use requires an active paid subscription or enterprise assignment.
Paid plans
- Solo plans are self-serve subscriptions billed through our payment processor (e.g. Stripe) at the prices shown at checkout or on our pricing page.
- Enterprise plans are sold by contract for fixed seat packs on a single tenant; pricing and terms in your order form or statement of work prevail if they conflict with marketing copy.
- Fees are generally billed in advance on a monthly or annual cycle. Taxes may apply where required by law.
- Unless required by law or stated in your enterprise agreement, fees are non-refundable once a billing period has started.
Changes and cancellation
You may cancel self-serve subscriptions through the in-app billing flow or by contacting support. We may change plan features or list prices for new purchases; existing subscribers are generally honored through their current billing period unless we provide notice of a change permitted by law or your agreement.
4. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or harassing activity.
- Upload malware, attempt unauthorized access, probe or scan systems without permission, or interfere with Service operation.
- Reverse engineer, scrape, or resell the Service except as expressly allowed in writing.
- Misrepresent your identity or impersonate another user or organization.
- Use AI or research features to generate spam, bulk unsolicited outreach in violation of law, or content that infringes third-party rights.
- Exceed plan limits (including intel quotas and seat counts) through circumvention or abuse.
We may investigate violations and remove content, throttle usage, or suspend access to protect the Service and other customers.
5. Your content and data
You retain ownership of prospect records, notes, and other materials you submit (“Customer Content”). You grant us a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service, enforce these Terms, and comply with law.
You are responsible for obtaining any rights and consents needed to store and process Customer Content (including personal data about your prospects and contacts). Our Privacy Policy describes how we handle data; it is incorporated by reference.
6. AI and intelligence features
AI-generated briefings, live search results, Deep Research reports, and similar outputs are provided for informational assistance only. They may be incomplete, outdated, or inaccurate. You must independently verify material facts before relying on them in sales, legal, financial, or compliance decisions.
Intel usage is subject to monthly workspace caps and fair-use limits described in your plan. We do not guarantee availability of third-party data sources used for live search or research.
7. Our intellectual property
The Service, software, branding, documentation, and underlying technology are owned by us or our licensors and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or to copy our user interface except as needed for normal use of the Service.
8. Third-party services
The Service integrates with third parties (for example payment processing, email delivery, cloud hosting, calendar providers, and AI providers). Your use of optional integrations may be subject to those providers’ terms. We are not responsible for third-party services we do not control.
9. Confidentiality and security
We implement reasonable technical and organizational measures to protect workspace data, as described in our Privacy Policy and security materials. You agree to use reasonable care when exporting data, sharing login access, or connecting external calendar and email integrations.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OR RESEARCH OUTPUTS. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY APPLICABLE LAW.
12. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Content, your use of the Service in violation of these Terms or law, or your violation of third-party rights, except to the extent caused by our gross negligence or willful misconduct.
13. Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access for breach, non-payment, or to comply with law. Upon termination, your right to access the Service ends; export tools may remain available for a reasonable period where technically feasible. Sections that by nature should survive (including payment obligations, disclaimers, liability limits, and indemnity) will survive.
14. Changes to these Terms
We may update these Terms as the Service or law changes. We will post the revised version on this page with an updated date. Material changes may be communicated by email or in-app notice. Continued use after the effective date constitutes acceptance of the updated Terms for new activity; where required by law we will seek additional consent.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory consumer protections in your jurisdiction apply. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there, unless your enterprise agreement specifies different governing law or arbitration.
